Terms of Service
1. Agreement
These Terms of Service ("Terms") govern your use of the Midnight Logic AI website and voice AI dispatch platform ("Service") operated by Midnight Logic AI ("we," "us," "our"), based in San Diego, California. By using our Service, you agree to these Terms.
2. Service Description
Midnight Logic AI provides an automated voice AI dispatch system for water and fire restoration companies. Our Service answers inbound phone calls, conducts triage through AI-driven conversation, captures emergency job data, and routes dispatch information to the subscribing restoration company. The AI dispatcher ("Alex") is software — not a human operator.
3. Call Recording & Consent
All calls handled by our AI dispatch system are recorded and transcribed. A recording disclosure is delivered at the beginning of every call in compliance with California's two-party consent law (Cal. Penal Code § 632). This disclosure is provided in both English and Spanish.
Client responsibility: If you are a restoration company using our Service, you are responsible for ensuring that your use of call recordings complies with all applicable federal, state, and local laws in the jurisdictions where your callers are located.
4. Eligibility & Use
Our Service is intended for use by licensed restoration companies operating in the United States. By subscribing, you represent that your company is a legitimate business and that you will use the Service only for lawful emergency dispatch and business intake purposes.
5. Subscription & Billing
Our Service is offered on a monthly subscription basis as described on our pricing page. Subscriptions include a specified number of AI talk-time minutes per month. Usage beyond the included minutes is billed at the overage rate stated in your plan. We reserve the right to modify pricing with 30 days' written notice.
6. Service Availability
We strive to maintain 24/7 availability for our voice dispatch system. However, we do not guarantee uninterrupted service. Outages may occur due to third-party provider issues, maintenance, or events beyond our control. We are not liable for damages resulting from service interruptions.
7. Accuracy & Limitations
Our AI dispatcher captures information as provided by callers. We do not guarantee the accuracy of caller-provided data (addresses, phone numbers, damage descriptions). The AI system may occasionally misinterpret caller speech, particularly in poor audio conditions. Dispatch decisions should be reviewed by your team where practical.
The Service is not a substitute for 911 or emergency services. If a caller reports an active threat to life (fire in progress, electrocution risk, structural collapse), the AI instructs them to call 911 immediately.
8. Data Handling
Caller data collected through our Service is stored and processed in accordance with our Privacy Policy. As a subscribing restoration company, you are the data controller for caller information collected on your behalf. We act as a data processor. You are responsible for your own compliance with applicable privacy laws regarding the data you receive from our Service.
9. Intellectual Property
The Midnight Logic AI name, logo, AI dispatch protocols, system prompts, and related materials are our proprietary intellectual property. You may not copy, reverse-engineer, or redistribute any part of our system or prompt architecture.
10. Limitation of Liability
To the maximum extent permitted by law, Midnight Logic AI's total liability for any claims arising from the use of our Service is limited to the fees you paid to us in the three (3) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost revenue from missed or misrouted calls.
11. Indemnification
You agree to indemnify and hold harmless Midnight Logic AI from claims, damages, and expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.
12. Termination
Either party may terminate the subscription with 30 days' written notice. We reserve the right to suspend or terminate your access immediately if you violate these Terms or use the Service for unlawful purposes. Upon termination, your access to the dispatch dashboard and stored data will be available for 30 days to allow data export.
13. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Diego County, California.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated with 30 days' notice via email to subscribing clients. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
